If your company has EDGAR Filing requirements, you or your EDGAR filing agent need to be aware of the upcoming process changes relevant to the EDGAR Filing requirements and modifications from the Securities and Exchange Commission (SEC).

What is changing?

The SEC is preparing to roll out EDGAR Next, a new system that will replace the current Electronic Data Gathering, Analysis and Retrieval (EDGAR) platform. According to the SEC, the goal is to make the system easier to use and more efficient with improved security. Key changes include:

  • Improved user experience – A more intuitive and user-friendly interface to help streamline the filing process.
  • Enhanced data security – Advanced security measures to protect sensitive information, with multi-factor authentication.
  • Automated compliance checks – To identify potential errors or omissions in filings before submission.
  • Technology integration – The system will support integration with modern technologies such as APIs and cloud-based services.

Timeline for changes

The move to EDGAR Next began on September 27, 2024. Here are additional dates to mark on your calendar:

  • September 30, 2024 to March 21, 2025 – Filers can prepare for enrollment, with a Beta environment available for testing. You will need to obtain Login.gov credentials using the email you plan to use for EDGAR.
  • March 24, 2025 – The EDGAR Next dashboard of the new EDGAR Filer Management website will go live and enrollment will begin.
  • September 15, 2025 – The date by which compliance is required. To make submissions, filers must be enrolled in the EDGAR Next system, or granted access on amended Form ID.

How will these changes affect you?

The move to EDGAR Next will have varied effects on companies depending on whether they do their own filing or use an EDGAR filing agent.

1. For internal filers

If your company does its own filing, your legal counsel may wish to check regularly for SEC updates about EDGAR Next. 

The EDGAR Business Office (EBO) has training and support materials available to help you transition to EDGAR Next. For more information, visit EDGAR filers on the SEC website.

With the enhanced data security available with EDGAR Next, consider checking that your company’s data protection measures align with the platform. Taking full advantage of the automated compliance check and integration capabilities may help you improve accuracy and efficiency when filing.

2. Using an EDGAR filing agent

For companies using external filing services, you may experience faster processing times once the transition to EDGAR Next is complete. You may also receive updates and notifications about the status of your filings more efficiently.

Like internal filers, consider reviewing and updating your data protection protocols to ensure they align with the advanced security measures offered by EDGAR Next. Also, check that your provider’s APIs and cloud-based services are integrated with the new platform.

You may want to confirm with your provider that they are familiar with the changes to EDGAR Next, have participated in the training offered by the SEC, and are prepared to make a smooth transition to the new system.
